These Terms and Conditions ("Terms") govern your access to and use of the Premium NFT marketplace platform ("Platform"), operated by VITADIGITAL LTD, a private limited company incorporated in the Republic of Cyprus (Registration No. HE 459277), with its registered office at Peiraios 30, Floor 1, Flat/Office 1, Strovolos 2023, Lefkosia, Cyprus ("Company", "we", "us", or "our").
By connecting your wallet, browsing, or transacting on the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately cease using the Platform.
Premium NFT is a secondary-market NFT marketplace operating on the Polygon blockchain network. The Platform facilitates peer-to-peer trading of non-fungible tokens (NFTs) between independent collectors and sellers. We do not originate, mint, or vouch for the NFTs listed on the Platform. All transactions are executed directly on-chain and are irreversible by nature of the blockchain protocol.

By using the Platform, you represent and warrant that you satisfy all of the above requirements.
Access to the Platform is provided through self-custodial cryptocurrency wallets (e.g., MetaMask). We do not custody your private keys, seed phrases, or digital assets at any time. You are solely responsible for the security of your wallet and for all activity originating from it. We will never ask you for your private key or seed phrase.
Authentication is performed by signing a one-time nonce message with your wallet. This does not initiate a blockchain transaction and incurs no gas fees.
The Platform operates exclusively as a secondary marketplace. All NFTs listed are offered for resale by independent holders. The Company makes no warranties regarding the originality, authenticity, intellectual-property ownership, or utility of any listed NFT. Buyers are responsible for conducting their own due diligence before purchasing.
A platform fee of 2.5% is applied to the purchase price of each transaction. Royalties payable to the original creator are specified per collection and are deducted from the seller's proceeds at the time of sale. Gas fees required to execute transactions on the Polygon network are borne entirely by the transacting party. All fees are final and non-refundable once a transaction is confirmed on-chain.
Sellers may list NFTs for sale at any price they choose, denominated in MATIC. Once a listing is created and active, the seller may cancel it at any time before it is purchased. Cancellation may require a gas transaction on the Polygon network. The Company reserves the right to remove any listing that violates these Terms, applicable law, or our content policies without notice and without liability.

Violation of these prohibitions may result in immediate suspension or permanent termination of access, at our sole discretion, and may be reported to relevant law-enforcement authorities.
The Platform, including its design, source code, trademarks, and written content, is owned by or licensed to VITADIGITAL LTD and is protected by applicable intellectual property laws. Purchasing an NFT grants you ownership of the token on-chain; it does not, unless expressly stated in the token's own licence, transfer any copyright in the underlying artwork to you.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF MALICIOUS CODE.
THE VALUE OF NFTs IS HIGHLY VOLATILE AND SPECULATIVE. WE MAKE NO REPRESENTATION REGARDING THE FUTURE VALUE, UTILITY, OR LIQUIDITY OF ANY NFT TRADED ON THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VITADIGITAL LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF DIGITAL ASSETS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our aggregate liability to you for any claim arising out of or related to these Terms shall not exceed the total platform fees paid by you in the twelve (12) months immediately preceding the claim.
You agree to indemnify, defend, and hold harmless VITADIGITAL LTD and its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the Platform; (b) your violation of any provision of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any claim that your listed or sold NFT caused damage to a third party.
We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without notice. We may also update these Terms from time to time. Material changes will be communicated by posting the revised Terms on the Platform with an updated effective date. Your continued use of the Platform after any modification constitutes acceptance of the revised Terms.
These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict-of-law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lefkosia (Nicosia), Cyprus.
Before initiating legal proceedings, you agree to attempt to resolve any dispute by contacting us at legal@pnmarketplace.com and allowing thirty (30) days for resolution.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
